How to Conduct an Effective Board Meeting

The goal of a successful board meeting is to make informed decisions that propel the company forward. Board members must plan meetings collaboratively. They should look over the reports and documents, give feedback, and address any questions. They should also engage in thoughtful discussion on issues of strategic importance. This includes an exhaustive review and analysis of the current strategies, and a plan for the future.

An effective board meeting begins with a clearly defined agenda. The agenda should be sent to all participants before the meeting and should include all the topics that will be discussed (e.g. the board package, previous minutes, proposed policy, committee reports). These materials will help participants to prepare for the meeting. They also help aid in the planning of the meeting by not having to look for details.

After the board has discussed, reviewed and acted on reports and information it is time to take decisions. This is where the power of the board is. During this part of the meeting the board will discuss and determine the specific actions that need to be taken in order to achieve the objectives of the company. The chair must also call a rolling call to confirm a quorum and ensure that all board members are participating in discussion.

During the decision-making process it is helpful that the board includes experts from within the company. A sales representative or someone from the engineering department can give an update on a brand new product, and a member of the engineering department can explain an important win that was recently achieved. This can bring an entirely new perspective to the discussion and promote productive debates. It’s also an excellent idea to bring in external speakers to provide the board with more knowledge on the subject.
